1. Definitions

For the purposes of these Terms, the following definitions apply. Capitalized terms used but not defined elsewhere shall have the meanings set out below.

  • “Tiidon” means the brand and service platform accessible at tiidon.com, including Tiidon Innovations Limited (Zambia, “Head Office”), Tiidon Cloud Limited (United Kingdom), and affiliated entities in the United Arab Emirates (Dubai) and Nigeria (collectively, the “Tiidon Group”).
  • “Platform” means the Tiidon web application(s), mobile application(s), websites, dashboards, management consoles, and any associated user interfaces made available by the Tiidon Group.
  • “Service” means the functionality provided through the Platform, including the website builder, Android app launchpad, hosting infrastructure, content delivery, APIs, SDKs, templates, themes, QR code generator, payment pages, and any related features, modules, or support materials.
  • “Website” means tiidon.com and any subdomains (e.g., app.tiidon.com) operated by or on behalf of Tiidon.
  • “User” or “you” means an individual or legal entity that registers for, accesses, or uses the Service, whether under a Free Trial, a paid Subscription, or otherwise. “Authorized User” means any individual (e.g., your employee, contractor, or agent) whom you permit to access your Account in accordance with these Terms.
  • “Customer” means the entity or person that enters into a binding agreement with Tiidon for paid Services; where the Customer authorizes Users to access the Service, those Users are Authorized Users of the Customer.
  • “Account” means the unique profile, credentials, roles, and configuration created by or for a User or Customer to access the Service.
  • “Workspace” means a logical environment within an Account that groups sites, apps, assets, roles, projects, and related billing.
  • “Content” means any materials uploaded, created, generated, imported, transmitted, or otherwise made available through the Service by a User or Customer, including text, images, audio, video, data, code, metadata, and documentation.
  • “Templates” and “Themes” mean design frameworks, layouts, components, and style assets provided by Tiidon or third parties for use within the Service.
  • “Documentation” means user guides, API references, playbooks, how-to articles, and any technical or operational materials made available at docs.tiidon.com or as otherwise provided by Tiidon.
  • “Subscription” means a paid plan (e.g., Growth, Professional, Enterprise) purchased by or for a Customer, with specified term (monthly/annual), fees, entitlements, usage limits, and support level as described on the Pricing Page or applicable Order Form.
  • “Order Form” means any ordering document, online checkout, quote, or SoW executed or accepted by the Customer that references these Terms and specifies the Subscription, quantities, prices, and duration.
  • “Free Trial” means the 14-day evaluation period during which new Users may access paid features without charge, subject to these Terms and any trial parameters presented in-product or on the Website.
  • “Usage Limits” means any quantitative or qualitative limits associated with a plan or feature (e.g., user seats, projects, domains, API calls, storage, bandwidth), as stated on the Pricing Page, in the Service, or in an Order Form.
  • “Downtime” means periods when the core Service is unavailable or materially degraded, whether due to scheduled maintenance (announced in advance) or unplanned incidents, as recorded by Tiidon’s monitoring systems.
  • “Third-Party Services” means products, software, plugins, gateways, or platforms not provided by Tiidon (e.g., payment processors such as Flutterwave, DPO, Lenco; analytics; authentication providers) that interoperate with or are used alongside the Service.
  • “Personal Data” means any information relating to an identified or identifiable natural person, as defined by applicable Data Protection Laws; “Processing” has the meaning given under those laws.
  • “Data Protection Laws” means all applicable data privacy and protection legislation, including Zambia’s Data Protection Act, the UK GDPR, EU GDPR, UAE DIFC/ADGM regulations, Nigeria’s NDPR, and other laws where Tiidon processes personal data.
  • “Confidential Information” means non-public information disclosed by one party to the other that is marked or reasonably understood to be confidential, including product roadmaps, pricing, security reports, and business plans; excluding information that is publicly available, independently developed, or rightfully received from a third party without restriction.
  • “Support” means technical assistance provided by Tiidon in accordance with the Customer’s plan tier (e.g., email, live chat, hotline, Technical Account Manager) and any applicable service descriptions.
  • “SLA” or “Service Level Objectives” means any uptime targets, response times, or service credits described in these Terms, on the Pricing Page, or in an Order Form.
  • “Taxes” means all sales, VAT, GST, withholding, or similar taxes, duties, or levies (excluding taxes based on Tiidon’s net income) arising from or related to the Subscription or use of the Service.
  • “Beta Features” means pre-release, preview, or experimental features identified as “beta”, “early access”, or similar, provided “as is” and optionally, which may be modified or discontinued at any time.
  • “Force Majeure Event” means an event beyond a party’s reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet/utility outages, and governmental actions, that prevents performance of obligations (other than payment obligations).
  • “Governing Law” means, to the extent permitted by mandatory local provisions, the laws of the Republic of Zambia, without regard to conflict-of-laws principles, and with Tiidon retaining the right to bring or defend actions in Zambia, the United Kingdom, the United Arab Emirates, or Nigeria at its discretion.

Interpretation.

  • Headings are for convenience only and do not affect interpretation.
  • “Including” means “including without limitation”.
  • Singular includes plural and vice versa; references to “person” include natural persons and legal entities.
  • References to a law include any amendments, re-enactments, or replacements of that law.
  • If there is a conflict between an Order Form and these Terms, the Order Form prevails to the extent of the conflict.
2. Acceptance of Terms

By accessing, browsing, registering for, or using any part of the Service—including Tiidon.com, the web application, mobile app, APIs, SDKs, and any ancillary tools—you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. In particular, you agree that:

  • Capacity & Authority: You have legal capacity to enter into a binding agreement; if you act on behalf of an entity, you represent that you have full authority to bind that entity, and “you” includes that entity.
  • Compliance: Your use of the Service will comply with all applicable laws, regulations, and these Terms, including export controls, sanctions, and data protection laws.
  • Updates to Terms: Tiidon may modify these Terms by posting a revised version at tiidon.com/terms. For material changes, we will provide at least thirty (30) days’ prior notice by email and/or in-app notification. Your continued use after the effective date constitutes acceptance.
  • Right to Decline: If you do not agree to any updated Terms, you must stop using the Service and cancel any active Subscription before the effective date of the changes.
  • Order Forms & Conflicts: Where an Order Form or SoW applies, it will govern to the extent of any conflict with these Terms, solely for the specified transaction.
3. Eligibility
  • Minimum Age: You are eighteen (18) years or older; where permitted, minors may use the Service only with verifiable parental/guardian consent and supervision.
  • Legal Capacity: You can form a binding contract under the laws of your jurisdiction (e.g., Zambia, UK, UAE, Nigeria) and are not prohibited from receiving services.
  • Sanctions & Export: You are not subject to sanctions and will not use the Service in embargoed countries or for prohibited end uses.
  • Entity Use: If you represent an entity, you warrant that you have authority to bind it and that all Authorized Users will comply with these Terms.
4. Account Registration
  • Accurate Information: Provide true, complete registration and billing information and keep it current (contact, billing, tax/VAT, organization details).
  • Credentials & Roles: Use a unique username and strong password; configure roles/permissions (RBAC) responsibly for Authorized Users.
  • Security: You are responsible for all activity under your Account and for enabling MFA where available. Report suspected compromise to security@tiidon.com immediately.
  • Verification: We may require email, phone, or identity verification before enabling certain features or plan upgrades.
  • Abuse & Fraud: We may suspend/terminate Accounts for false information, fraud, abuse, or violations of these Terms or law.
5. Subscription Plans & Billing
  • Plans: Growth, Professional, and Enterprise with defined entitlements, usage limits (e.g., seats, storage, bandwidth, API calls), and support tiers as shown on the Pricing Page or Order Form.
  • Fees & Currencies: Fees may be billed in USD, ZMW, NGN, GBP, or EUR. Annual billing includes a 20% discount versus equivalent monthly rates unless otherwise stated.
  • Automatic Renewal: Subscriptions auto-renew for successive terms unless cancelled at least 48 hours before renewal via Account Settings.
  • Payment Methods: Major cards (Visa/Mastercard/AmEx/Discover), PayPal, local gateways (Flutterwave, DPO, Lenco), and bank transfer (Enterprise). You authorize recurring charges including applicable taxes/fees.
  • Late/Failed Payments: We may suspend paid features after 7 days of non-payment and terminate after 30 days; data may be deleted per our retention policy.
  • Taxes: Fees are exclusive of Taxes (VAT/GST/withholding). You are responsible for applicable Taxes unless we are legally required to collect them.
  • Invoicing: Receipts/invoices are emailed per transaction; Enterprise can request custom terms via billing@tiidon.com.
6. Free Trial & Refund Policy
  • Free Trial: 14-day access to paid features; no card required. Trial parameters may be adjusted or revoked for misuse.
  • Conversion: At trial end, enter payment details to continue; otherwise, your Account reverts to Growth free tier with reduced limits.
  • Refund Window: 14 days from your first paid charge to request a full refund via support@tiidon.com.
  • Processing: Refunds are processed within 5 business days to the original method/currency; exchange-rate/issuer variances are outside our control.
  • Post-Refund Access: Downgrade to Growth free; view-only retained for 30 days, after which content may be deleted per retention policy.
  • Exceptions: After 14 days, refunds may be granted at Tiidon’s discretion for technical faults or extraordinary circumstances.
7. User Content & Ownership
  • Ownership: You retain all intellectual property rights in your Content.
  • License to Tiidon: You grant a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, display, perform, and distribute Content solely to operate, improve, and promote the Service.
  • Third-Party Rights: You warrant you have rights to the Content and that it does not infringe, violate law, or contain prohibited material.
  • Moderation: We may remove or disable Content that violates these Terms or the law, without liability.
  • Feedback: Suggestions/feedback may be used by Tiidon without restriction or compensation.
  • Backups: While we take regular backups, you are responsible for maintaining your own copies to prevent data loss.
8. Prohibited Conduct
  • Illegal activities; infringement of IP, privacy, or publicity rights.
  • Security violations (probing, scanning, bypassing controls); unauthorized access or account sharing.
  • Malware distribution; harmful code; cryptomining without consent.
  • DoS/DDoS, traffic flooding, or activities that degrade Service performance.
  • Reverse engineering, decompiling, scraping, or automated harvesting without written consent.
  • Spam, bulk unsolicited messages, misleading or deceptive conduct, impersonation.
  • Using the Service to develop a competing product or to benchmark without permission.
9. Privacy & Data Protection

Tiidon processes Personal Data in accordance with applicable Data Protection Laws and our Privacy Policy. Key points:

  • Data Minimization: We collect only necessary data to deliver and improve the Service.
  • Lawful Bases: Contract performance, legitimate interests, consent, and legal obligations as applicable.
  • Cross-Border Transfers: Where data moves between jurisdictions, we implement appropriate safeguards (e.g., SCCs/adequacy decisions).
  • Sub-processors: Bound by confidentiality and data protection obligations.
  • User Rights: Access, rectification, deletion, portability, objection/restriction, and complaint to a regulator; contact privacy@tiidon.com.
  • Security & Breach Notice: We maintain organizational/technical controls and will notify as required by law in the event of a breach.
10. Security
  • Encryption: TLS 1.2+ in transit; AES-256 at rest for sensitive data.
  • Defense-in-Depth: Firewalls, WAF, IDPS, and DDoS mitigation.
  • Access Controls: MFA, RBAC, least privilege, centralized logging and audits.
  • Secure SDLC: Code reviews, SAST/DAST, dependency scanning, change management.
  • Resilience: Daily backups, geo-redundant DR, tested quarterly.
  • Vulnerability Management: Patch cycles aligned to severity; formal incident response with 24/7 monitoring.
  • User Duties: Enable MFA, use strong passwords, keep devices secure, maintain local backups.
11. Service Availability & Support
  • Uptime Target: 99.9% monthly for core services. Scheduled maintenance (usually Sun 02:00–04:00 UTC) is excluded and announced ≥48 hours prior.
  • Support:
    • Growth: Email support (Mon–Fri, 08:00–18:00 Lusaka). Initial response ≤24h.
    • Professional: Priority email + live chat (7 days, 08:00–20:00 Lusaka). Urgent response ≤4h.
    • Enterprise: 24/7 hotline, TAM, and quarterly reviews. Initial response ≤1h.
  • Incidents: Ticketed workflow, status updates, and post-mortems for critical events.
  • Service Credits: Provided per Subscription Agreement if SLOs are not met.
  • Self-Help: Documentation and API references at docs.tiidon.com.
12. Intellectual Property Infringement

If you believe material on the Service infringes your rights, email legal@tiidon.com with: (i) identification of the work; (ii) location/URL of the infringing material; (iii) your contact details; (iv) a good-faith statement; (v) a statement under penalty of perjury of accuracy and authority; and (vi) your physical/electronic signature. We may remove/disable access and terminate repeat infringers.

13. Termination
  • Your Cancellation: Cancel anytime via Account Settings; effective at the end of the current billing period; Account reverts to Growth free tier.
  • Our Suspension/Termination: For breach (uncured within 14 days after notice), prohibited conduct, non-payment (30+ days), or repeated IP infringement.
  • Effects: Access ceases immediately upon termination; Content/data deleted or anonymized after 30 days (unless retention required by law). Prepaid fees are non-refundable except as required by law or Section 6.
  • Survival: Ownership, indemnities, warranty disclaimers, limitations of liability, and dispute provisions survive termination or expiration.
14. Disclaimers & Limitation of Liability
  • No Warranties: The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied (including merchantability, fitness, non-infringement, uninterrupted or error-free operation).
  • Risk: You assume all risk from use, including data loss or unauthorized access, even if Tiidon has been advised of the possibility.
  • Exclusions: No liability for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data.
  • Cap: Tiidon’s aggregate liability shall not exceed the fees paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim.
  • Third-Party Services: Tiidon is not responsible for third-party services or integrations; disputes are between you and the third party.
  • Indemnity: You will defend, indemnify, and hold harmless Tiidon Group and its personnel from claims, damages, and expenses arising from your Content, use of the Service, or breach of these Terms.
15. Changes to Terms
  • Material Changes: ≥30 days’ advance notice via email and/or in-app; continued use after effective date constitutes acceptance.
  • Minor Updates: Effective upon posting; “Last Updated” date will reflect changes.
  • Archives: Prior versions will be retained at tiidon.com/terms/archives.
  • Opt-Out: If you do not agree, cancel before the effective date and cease all use.
16. Governing Law & Dispute Resolution
  • Law & Forum: These Terms are governed by the laws of Zambia. Tiidon may elect to bring/defend actions in courts of Zambia, the UK, UAE (Dubai), or Nigeria for matters directly related to its respective entities.
  • Negotiation: Parties will first attempt good-faith resolution for at least thirty (30) days.
  • Arbitration: If unresolved, disputes may be submitted to final and binding arbitration under ZIAC rules, seat Lusaka, one arbitrator, English language.
  • Court Proceedings: Where arbitration is not applicable/allowed, exclusive jurisdiction lies with the courts of Lusaka, Zambia.
  • Class/Jury Waiver: No class, collective, or representative actions; jury trial waived to the fullest extent permitted by law.
  • Interim Relief: Either party may seek injunctive or equitable relief in any competent court for protection of IP or Confidential Information.
